Terms of Service

These Terms of Service ("Terms") govern your use of the Zohuri Advisory website and the advisory, coaching, and programme services provided by Zohuri UG (see below), branded as Zohuri Group UG (haftungsbeschränkt) ("Zohuri Advisory", "we", "us"). By accessing this website or engaging our services, you agree to these Terms.

1. About Us

This website is operated by Zohuri UG, Güntzelstraße 27, 10717 Berlin, Germany, represented by its Managing Director, Amir Zohuri. Company details are available in our Impressum. Zohuri Advisory provides strategic, leadership, and organisational advisory services, executive coaching, and related programmes and workshops for founders, executives, and institutions.

2. Scope of Services

We provide advisory, coaching, and educational services across three practice areas: Entrepreneurship & Startup Advisory, Leadership & Executive Advisory, and Institutions & Ecosystems. The specific scope, deliverables, duration, and fees for any engagement are agreed individually with each client, typically through a separate proposal, statement of work, or engagement letter. These Terms apply in addition to, and do not replace, the terms of any such individual agreement.

3. Use of This Website

You may browse and use this website for lawful, personal, or business informational purposes. You agree not to misuse the website, attempt to gain unauthorised access to it or any related systems, or use it in any way that could damage, disable, or impair its operation. All content on this website, including text, graphics, illustrations, and the Zohuri name and logo, is provided for general informational purposes only.

4. Enquiries, Bookings & Consultations

Submitting an enquiry, booking a consultation, or requesting a programme overview through this website does not, by itself, create a binding service contract. A formal engagement begins only once both parties have agreed on scope, terms, and fees, typically in writing. Introductory consultations booked through this website are provided on the basis described at the time of booking and may be subject to change or rescheduling by mutual agreement.

5. Fees & Payment

Fees for advisory engagements, coaching, and programmes are set out in the relevant proposal or agreement for each client. Unless otherwise agreed in writing, invoices are payable within the period stated on the invoice. We reserve the right to suspend or discontinue services for overdue accounts, subject to reasonable prior notice.

6. Cancellations & Rescheduling

Cancellation and rescheduling terms for individual engagements, coaching sessions, and programmes are set out in the applicable proposal or agreement. Where no specific terms have been agreed, we ask for reasonable advance notice of any change and will make reasonable efforts to accommodate rescheduling requests.

7. Confidentiality

We treat information shared with us in the course of an advisory or coaching engagement as confidential and will not disclose it to third parties without consent, except where required by law or agreed with the client. Clients are likewise expected to treat our proprietary frameworks, methodologies, and materials as confidential.

8. Intellectual Property

All frameworks, methodologies, materials, and content developed or provided by Zohuri Advisory in connection with our services remain our intellectual property unless explicitly agreed otherwise in writing. Clients receive a licence to use such materials solely for their own internal purposes in connection with the engagement, and not for resale, redistribution, or use in competing offerings.

9. No Guarantee of Outcome

Our advisory, coaching, and programme services are intended to provide structured guidance, perspective, and practical support. While we bring relevant experience and a rigorous approach to every engagement, business, leadership, and organisational outcomes depend on many factors beyond our control, and we do not guarantee specific results, revenue, funding, or other outcomes.

10. Limitation of Liability

To the extent permitted by applicable law, our liability for damages is limited to cases of intent and gross negligence. In cases of ordinary negligence, we are liable only for breaches of material contractual obligations (cardinal duties) and only for foreseeable, typical damage. Liability for injury to life, body, or health, and any mandatory liability under applicable law (including product liability law), remains unaffected.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law provisions. To the extent permitted by law, the place of jurisdiction for any disputes arising from or in connection with these Terms is Berlin, Germany.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or legal requirements. The current version will always be published on this page. Individual client agreements remain governed by the terms agreed at the time of engagement.
